Terms of Service.

These terms govern your use of Counterpart (becomingos.io) and the services we provide. By commissioning a Counterpart or using this site, you agree to them. If you're signing up on behalf of a business, you confirm you have the authority to bind that business.

1. What we provide

Counterpart builds and operates custom AI video personas ("Counterparts") for businesses. A commission includes a one-time installation — discovery, configuration, and testing of your Counterpart — followed by a monthly platform & maintenance plan that keeps it live, maintained, and updated. Your Counterpart is an AI system: it is always presented as an AI, never as a human.

2. Payment

Installation is billed up front (payment plans, where offered, are charged automatically on the stated schedule). The monthly plan begins when your Counterpart goes live and renews automatically each month until cancelled. All payments are processed by Stripe — we never see or store your card details. Fees are non-refundable once the corresponding work has been delivered, except where the law requires otherwise.

3. Cancellation

You can cancel your monthly plan any time — from your account portal, by asking Morgan, or by emailing us. Cancellation takes effect at the end of your current billing period; your Counterpart stays live until then. After that, we may deactivate your Counterpart and its links.

4. Likeness and content you provide

If you provide a photo or likeness for your Counterpart, you confirm you own it or have the person's permission to use it this way. You keep ownership of everything you give us — your business information, brief, and likeness. You grant us the rights needed to build and operate your Counterpart with them. We retain ownership of our platform, tooling, and know-how.

5. Acceptable use

You agree not to use a Counterpart to mislead people into believing they're speaking with a human, to impersonate someone without their consent, to give regulated advice it isn't qualified to give (legal, medical, or financial advice), or for anything unlawful. We may suspend service for misuse.

6. AI limitations

Counterparts are AI systems. They are configured with your rules and guardrails, but like all AI they can occasionally make mistakes or say something imperfect. You're responsible for reviewing how your Counterpart represents your business and for compliance with the rules of your own industry. We'll fix issues you flag — that's part of what the monthly plan is for.

7. Availability

We aim to keep your Counterpart available around the clock, but we depend on third-party infrastructure (video, AI, and hosting providers) and can't promise uninterrupted service. We'll work to restore any outage promptly.

8. Liability

To the maximum extent the law allows, our total liability for any claim relating to the service is limited to the amounts you paid us in the three months before the claim arose. We're not liable for indirect or consequential losses, or for decisions made in reliance on a Counterpart's statements.

9. Changes

We may update these terms as the service evolves. If we make a material change, we'll notify you by email before it takes effect. Continuing to use the service after that means you accept the updated terms.
